PARATURE’S PRIVACY STATEMENT

(“Parature,” “we,” “us,” or “our“) has created this privacy statement (“Privacy Statement“) in order to demonstrate our commitment to you, our user, (“You” or “Your“) regarding Your privacy with respect to information that You submit to Parature by or through the Site or Services (defined below), whether You are a “Visitor” (which means that you simply browse the Site (defined below)), a “Customer” of Parature (which means you have either registered with Parature, established an account with Parature or otherwise entered into a separate agreement with Parature, with respect to the Site and/or Services), or You are an employee of a Customer (“Employee“), using the Site or Services in Your capacity as an employee of that Parature Customer. Visitors, Customers and Employees are individually referred to as a “User,” and collectively, as “Users.”

This Privacy Statement applies to www.parature.com (“Parature.com“), including the portions of Parature.com where Customers, who have contracted with Parature to receive online support from Parature, and their Employees, can obtain online support from Parature (the “Site“). Because we gather important information from our Users of the Site and related services offered through the Site provided by Parature (the “Services“), we have established this Privacy Statement as a means to communicate our information gathering, use and dissemination practices. In order to access and use the Site and/or Services, You must agree to our Terms of Use posted on the applicable Site. Any capitalized terms not defined in this Privacy Statement are defined in the Terms of Use.

SCOPE OF THIS PRIVACY STATEMENT

This Privacy Statement describes Parature’s use of Personal Information and Anonymous Information (each as defined below) that we collect from Your use of, or access to, the Site and Services, whether You are an individual or a company, as well as information we may use to update the information You provide us through other means. “Personal Information” means Your contact information (i.e., Your name, address, email address, and/or telephone number) and any other non-public information that is associated with Your contact information. “Anonymous Information” means information that is not associated with or linked to Your Personal Information, and does not identify You in a personal capacity.

Please note that Parature may serve as a back-end service provider for certain companies via a number of different Web sites and/or subdomains (“Other Websites“), through which those companies provide certain services to their end users (“Company Services“), and may include collection, use and dissemination of data and information from those end users. These companies have entered into separate written agreements with Parature governing those back-end services provided by Parature. This Privacy Statement does not apply to those Other Websites or Company Services. In each case, it is the company providing the Company Services, not Parature, who is responsible for the collection, use and dissemination of any data or personal information provided by, or obtain from, end users of these Other Websites and Company Services, and it is the company’’s Privacy Statement, not this Privacy Statement, that will apply with respect to such data and information. Please be aware that we are not responsible for the privacy practices of those companies and that the privacy policies of those companies may differ from ours. We encourage You to read the privacy policy for each company before providing any data or personal information.

Parature is a licensee of the TRUSTe Privacy Program and is a certified licensee of the TRUSTe Privacy Program.. Parature is using the TRUSTe trademark(s) under license from TRUSTe pursuant to the requirements of the TRUSTe program, and that all rights in the TRUSTe trademark(s) belong to TRUSTe. TRUSTe is an independent organization whose mission is to build users’ trust and confidence in the Internet by promoting the use of fair information practices. TRUSTe certifies the website www.parature.com’s privacy policies in regards to the gathering and dissemination of information. The TRUSTe program covers only information that is collected through the Site, and does not cover information that may be collected through software downloaded from the Site.

COLLECTED INFORMATION

The Personal Information we gather from You helps us learn more about, and provide You with, access to the Site or Services. We collect Personal Information that You submit to us voluntarily in the course of correspondence, registration and as otherwise identified below. In addition, we collect certain Anonymous Information which cannot be used to personally identify any User, such as aggregate or statistical data.

Users who fill out our online contact form or register to use certain Services offered on our Site may be required to provide certain contact information, such as their name, company name, address, phone number, and e-mail address, financial qualification, the number of Users within the organization that will be using the Site or Services. In some cases Parature may collect credit card or other payment information when Users choose to order certain Services. At the time You express interest in attaining additional information from us or one of our partners, or in order to use some of the Services, we may also ask for additional information, such as title, department name, fax number, or additional company information, such as annual revenues, number of employees, or industry. You can opt out of providing this additional information by not entering it when asked. You may also be asked to provide certain Personal Information at those portions of the Site or Services where You can contact the sales team, email the webpage to a friend, or gain access to white pages, or submit Your resume to Parature. If Users submit their resume online, we may ask for specific contact information, such as name, company name, address, phone number, and e-mail address. This is information is collected and is used to assess the User’s qualifications for an open position within the company. Parature will give You the option of providing Your age on the application page. Should You choose to provide such Personal Information, we will treat such information in accordance with this Privacy Statement. When You send us a communication, or fill out a request form such as a survey or contest, we will collect all information contained therein. We do not request Users to submit social security numbers (or the like, for example non U.S. national identification cards) through the Site or Services, and You should not submit this information to us, to other Users or to any third party, through the Site or Services.

Some of our Customers use the Site or Services to provide certain service sessions to their Employees and clients, which may require the participants to register prior to attending the session. When You register for one of these sessions, You may be asked to provide certain information requested by the Customer. This information may be provided to the Customer offering the session. Parature may store this information on behalf of our Customers as necessary to fulfill our obligations to our Customers. Parature requires that all such Customers use, hold and process such information in accordance with applicable privacy laws. This Privacy Statement applies to information You provide us through the Site and Services. If You provide us with information through other means, that information is not subject to this Privacy Statement.

EMAIL THIS PAGE

If you choose to use our email this page feature we will ask for your friends email address and your name. We will send your friend a one time email inviting them to visit the Site. We do not store this information or use it for any other purpose other than to fulfill the email this page request.

We use the addthis widget to allow you to share information with your friends on third party sites. Please note that you will be taken to a third party site and that our Privacy Statement does not govern the collection and use of any information you choose to enter on such sites.

Information From Other Sources

We may receive Personal Information about You from other sources like telephone, fax or email, from third-parties that provide services for us in connection with the Site or Services, as well as from third parties to whom You have voluntarily provided information. We may add this information to the information we have already collected from You via the Site or Services. This Privacy Statement does not restrict our use of that additional information.

INFORMATION COLLECTED VIA TECHNOLOGY

As You use the Site or Services, certain information may also be passively collected and stored on our or our service providers’ server logs, including Your Internet protocol address, browser type, and operating system. We also use Cookies and navigational data like Uniform Resource Locators (URL) to gather information regarding the date and time of Your visit and the solutions and information for which You searched and viewed, or on which of the advertisements displayed on the Site You clicked. This type of information is collected to make the Site or Services and solutions more useful to You and to tailor the experience with the Site or Services to meet Your special interests and needs.

An “Internet protocol address” or “IP Address” is a number that is automatically assigned to Your computer when You use the Internet. In some cases Your IP Address stays the same from browser session to browser session; but if You use a consumer internet access provider, Your IP Address probably varies from session to session. We, or our service providers, may track Your IP Address when You access the Site or Services.

Cookies” are pieces of information that some Web sites transfer to the computer that is browsing that Web site and are used for record-keeping purposes at many Web sites. Use of Cookies makes Web-surfing easier by performing certain functions such as saving passwords, lists of potential purchases, personal preferences regarding the use of the particular Web site and to make sure the user does not see the same ad repeatedly. Many consider the use of Cookies to be industry standard. Our Site uses Cookies to enhance the user’s experience by allowing us to recognize a user’s return visit to our own service. Browsers are usually set to accept Cookies. However, if users would prefer not to receive Cookies, they may alter the configuration of their browser to refuse Cookies. There are two types of Cookies: session-based and persistent-based. Session Cookies exist only during one session. They disappear from Your computer when You close Your browser software or turn off Your computer. Persistent Cookies remain on Your computer after You close Your browser or turn off Your computer. If You have chosen to identify Yourself to Parature, we may use session Cookies containing encrypted information to allow us to uniquely identify You. Each time You log into the applicable Site or Services, a session Cookie containing an encrypted, unique identifier containing your first name that is tied to Your account is placed on Your browser. These session Cookies allow us to uniquely identify You when You are logged into the Site or Service and to process Your online transactions and requests. Session Cookies are required to use certain Services.

Parature uses persistent Cookies that only we can read and use to identify browsers that have previously visited the Site. When You purchase the Services or provide Parature with Personal Information, a unique identifier is assigned You. This unique identifier is associated with a persistent Cookie that Parature places on Your Web browser. If You disable Your Web browser’s ability to accept Cookies, You may be able to navigate the Site, but You will not be able to successfully use certain portions of the Site or the Services. Parature may use information from session and persistent Cookies in combination with other information about Parature Users to provide You with information about Parature and the Service.

DISCLOSURE – USAGE OF THIRD-PARTY COOKIES

We may use a third party tracking service to track and analyze Anonymous Information from Users of our Site. Such third parties may use Cookies to help track User behavior. Such Cookies will not be used to associate individual Users of a Site to any Personal Information.

Additionally, we may also enable advertisers and ad servers to promote third-party products and/or services by placing advertisements on the Site. These advertisers and ad servers may use Cookies in order to monitor information related to served advertisements. Clicking on such advertisements will direct You to the website of a third-party and the advertiser. This Privacy Statement does not cover the privacy practices of any advertisers or ad servers.

USE OF INFORMATION

In general, we use information that You submit to us either to administer Your account, carry out our obligations arising from any agreement You may have with us, register You for and/or provide You access to the Site or Services, respond to requests that You make, to help diagnose technical problems, to improve the Site or Services, to better tailor the features, performance and support of the Site or Services, and to offer You additional information, opportunities, and functionality. In addition, Parature uses the information that we collect from our Users to set up Services for Customers, individuals and their organizations.

For Users who have chosen to opt-in to email communications, we may occasionally contact those Users to further discuss their interest in Parature, the Services that we provide, and to send information regarding Parature or our partners, such as promotions, notices of events and newsletters. Separately, Customers and Employees are asked to provide an email address when registering for the Service, in order to receive a username and password. We may also send information such as administrative emails which pertain to the Site and Services.

Please be aware that if You enter any Personal Information into publicly available sections of the Site or Services, that information will be displayed to all persons with current access to these sections.

DISCLOSURE OF INFORMATION

It is our general policy to restrict who can access Personal Information. Except as otherwise stated in this Privacy Statement, we do not trade, rent, or share the Personal Information that we collect with third-parties, unless You ask or authorize us to do so.

We may provide Your Personal Information to third-party service providers who work on behalf of or with us to provide some of the services and features of the Site or Services and to help us communicate with You. Examples of such services may include sending email, analyzing data, providing marketing assistance and processing payments (including credit card payments, if applicable). These third-parties are required not to disclose Your Personal Information and not to use Your Personal Information other than to provide the relevant services to us.

We may create Anonymous Information records from Personal Information by excluding information (such as Your name or email address) that makes the information personally identifiable to You. We may use Anonymous Information to analyze usage patterns so that we may enhance the Site or Services. We reserve the right to use and disclose Anonymous Information to third-parties in our discretion.

Parature may share Personal Information with our parent company, any subsidiaries, joint ventures, or other companies under a common control (collectively, “affiliates“), if you opt-in to such sharing. Parature may share some of all of Your Personal Information with these affiliates, in which case our affiliates will honor this Privacy Statement, including any opt-out options you may have.

In the event of a change in ownership, or a merger with, acquisition by, or sale of assets to, another entity, we reserve the right to transfer all of Your Personal Information to that entity. Parature will notify You (via a posting on this Site or email (in Parature’s discretion) of such a transfer, and You may choose to modify Your registration information at that time. This means if You are concerned about Your Personal Information being transferred to a new owner, You can deactivate Your account.

We may share some or all of Your Anonymous Information or Personal Information with our third-party partners, other third-parties to whom You ask us to send Your information, or about whom You are otherwise notified and do not request to opt out of such sharing. This Privacy Statement does not cover the use of Your personally identifiable information by such third-parties. Parature does not maintain responsibility for the manner in which third-parties use or further disclose Your personally identifiable information collected from You in accordance with this Privacy Statement, after we have disclosed such information to those third-parties. If You do not want Parature to use or disclose Personal Information collected about You in the manners identified in this Privacy Statement, You may not use the Site or Services and must notify Parature by emailing [email protected].

Parature reserves the right to disclose Your Personal Information if required by law or if Parature reasonably believes that disclosure is necessary to (a) resolve disputes, investigate problems, or enforce our Terms of Use; (b) comply with relevant laws or to respond to requests from law enforcement or other government officials relating to investigations or alleged illegal activity, we can (and You authorize us to) disclose Personal Information without subpoenas or warrants served on us; or (c) protect and defend the rights or property of Parature, You, or third-parties. You hereby consent to Parature sharing Your Personal Information under the circumstances described herein.

FEEDBACK

If You provide feedback to us, we may use and disclose such feedback for any purpose, provided we do not associate such feedback with Your Personal Information. We will collect any information contained in such feedback and will treat the Personal Information in it in accordance with this Privacy Statement.

The Site may contain links to other Web sites. Parature is not responsible for the privacy practices or the content of these other Web sites. This Privacy Statement applies solely to information collected by us through the Site or Services and does not apply to these third party Web sites. Users will need to check the privacy policies of these others Web sites to understand their policies. Users who access a linked site may be disclosing their Personal Information. You should always use caution and common sense when choosing to provide Personal Information on the Internet, particularly when it comes to information such as credit cards and other payment information. We encourage You to only disclose information about yourself that you are comfortable sharing with others. We do not recommend disclosing social security numbers (or the like, for example non U.S. national identification cards). It is the responsibility of the User to keep such information private and confidential. We encourage our Users to read the privacy statements of each and every Web site they visit. PRIVACY POLICY FOR ADVERTISING

We partner with FetchBack to serve ads and/or collect information when you visit our website. FetchBack may use cookies or web beacons to collect on-personally identifiable information such as IP Address, pages viewed, and if a conversion occurred during your visit to this website in order to help show advertisements on other websites likely to be more interesting to you. REGARDING CHILDREN

The Site is not directed to children and children are not eligible to use our Services. Protecting the privacy of children is very important to us. We do not collect or maintain Personal Information from people we actually know are under 13 years old, and no part of the Site or Services is designed to attract people under 13 years old. If we later obtain actual knowledge that a User is under 13 years old, we will take steps to remove that User’s Personal Information from our databases.

SECURITY

We have put in place reasonable security measures to help protect against the loss, misuse, and alteration of Your Personal Information. When our Site is accessed using Internet Explorer version 6.0 or later, or Firefox version 2.0 or later, Secure Socket Layer (SSL) technology protects information using both server authentication and data encryption. Parature also implements an advanced security method based on dynamic data and encoded session identifications, and hosts the Site in a secure server environment that uses a firewall and other advanced technology to help prevent interference or access from outside intruders. Finally, Parature provides unique User names and passwords that must be entered each time a Customer logs on. These safeguards help prevent unauthorized access, and help to maintain data accuracy and appropriate use of Personal Information. Parature also offers enhanced security features within the Services that permit Customers to configure security settings to the level they deem necessary.

Despite such efforts, however, please note that no company, including Parature, can fully eliminate risks or guarantee the security of Your Personal Information; unauthorized entry or use, hardware or software failure, and other factors may compromise the security of information about You at any time, and we bear no liability for uses or disclosures of personal data or non-personal data arising in connection with the theft thereof.

OPT-OUT POLICY

Parature offers Users of its Site and Services a means to opt-out of receiving certain communications from us. If, at any time after registering for information or ordering Services, You change Your mind about being contacted by us, or certain information, You can opt-out of receiving such information, by sending Your request to [email protected]. In addition, Users can choose to opt out of newsletters and promotional emails, via the opt-out link included in each email. However, even if You opt-out of receiving such communications, during the term of our agreement with You, we retain the right to send You service-related communications in our sole discretion.

CORRECTING & UPDATING YOUR INFORMATION

If clients need to update or change registration information they may so by editing the administrator record. To update a Client Profile, log on to Parature and select the Administrator Account Settings to add or update information. To update billing information please email [email protected] or call (703)564-7758. To discontinue the Service and to have data returned, email [email protected] or call (703)564-7758. If You change and/or request changes to Your information, subsequent uses or disclosures of that information by us will reflect those changes, however, we do not have the ability to update any information previously disclosed to any third party. Certain information is necessary in order for us to provide the Site or Services; therefore, if You delete such necessary information You will not be able to use the Site or Services. If You wish to have Your Personal Information removed from our databases or to discontinue the Service You may contact us at [email protected] or call (703) 564-7758 and provide the name of the Service for which information was provided, Your full name, mailing address, telephone number and email address so that we may identify You in the opt-out process. Within a reasonable time period after we receive Your request, we will remove Your Personal Information. Please note that even though You may request the deletion of Your Personal Information by us, we may be required (by law or otherwise, such as to prevent fraud, resolve disputes, troubleshoot problems, or enforce our Services Agreement) to keep this information and not delete it (or to keep this information for a certain time) in which case we will comply with Your deletion request only after we have fulfilled such requirements). When we delete Personal Information, it will be deleted from the active database, but may remain in our archives. We will however, promptly correct any inaccuracies in any Personal Information that we have in our possession once notified of the requested change. We endeavor to process these requested changes as soon as is possible, but it may take up to thirty (30) days to make requested changes.

NOTIFICATION OF CHANGES

This Privacy Statement is a living document. We reserve the right to modify this Privacy Statement at any time. If we are going to use Your Personal Information that we have previously collected in a manner materially different from that stated at the time of collection, and You have provided us with Your current email address, we will notify You at that email address of such change. In the event You have provided us with an invalid or incomplete email address, or we do not have Your email address on file, a notice of any such changes will be posted to the Site. You will have a choice as to whether or not we use Your Personal Information in this materially different manner. Any such modifications become effective upon the earlier to occur of (i) Your acknowledgement of such modifications; (ii) Your continued access to and/or use of the Site or Services fifteen (15) days after we first provide You with email notification of such modifications; or (iii) if we have not provided You with an email notification of such modifications, Your continued access to and/or use of the Site or Services thirty (30) days after we have first posted such notice to the applicable Site(s).

In addition, if we make any material changes to our Privacy Statement that do not affect User information already stored in our database, we will post a prominent notice on our Site notifying Users of the change, and, at our discretion, email Users who have opted to receive communications from us, notifying them of the changes in our privacy practices. It is Your sole responsibility to check the Site from time to time to view any such changes to the terms of this Privacy Statement. If You do not agree to any changes, if and when such changes may be made to this Privacy Statement, You must cease access to the Site and use of the Services. You give us permission to email You for the purpose of notification as described in this Section.
